    Welcome to SalHub (“SalHub”, “we”, “us”, or “our”). These Terms of Service and Booking & Cancellation Policy govern access to and use of the SalHub website, marketplace, provider listings, packages, request flows, workspaces, AI-supported features where available, and related services (together, the “Platform”).

    By accessing or using SalHub, you agree to these Terms. If you do not agree, you must not use the Platform.

    Part A — Terms of Service

    1. What SalHub is

    SalHub is a marketplace for business events and workshops. It helps organisers and companies discover providers, request services or packages, and coordinate projects in one shared workspace.

    SalHub provides marketplace access, listings, request flows, communication tools, workspaces, and coordination features. Unless expressly stated otherwise in writing, SalHub does not itself provide venue, catering, audiovisual, speaker, entertainment, staffing, creative, marketing, production, transport, or other third-party event services.

    SalHub may support discovery, introductions, coordination, and workflow management. This does not make SalHub the performing service provider, organiser of record, employer, insurer, guarantor, or contractual counterparty for third-party services.

    2. Eligibility

    You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform. You agree to provide accurate information and comply with applicable laws, tax rules, and professional requirements relevant to your use of SalHub.

    3. Accounts and registration

    3.1 Provider accounts

    Providers may create an account, complete onboarding, build a profile, create listings or packages, and submit their information for review.

    Providers agree to:

    • provide complete, accurate, and current information;
    • keep pricing, availability, descriptions, and legal details up to date;
    • maintain all required registrations, licences, permits, insurance, and tax compliance relevant to their services;
    • ensure that listings, photos, videos, claims, and credentials are truthful and not misleading;
    • keep account credentials secure.

    SalHub may review, approve, reject, suspend, unpublish, or remove provider profiles or listings at its discretion.

    3.2 Organiser / business users

    Organisers may browse SalHub without creating an account. However, when an organiser is ready to send a request to one or more providers or packages, the organiser must create an account or log in and provide the required account and event information.

    This may include:

    • company name or indication of an individual booking;
    • contact person name;
    • email address;
    • password;
    • optional phone number;
    • event name;
    • event date or tentative date;
    • location or “undecided”;
    • optional guest count;
    • optional notes or special requirements.

    This information may be stored in the organiser account and workspace in order to process requests, enable communication, and support project coordination.

    3.3 Account security

    Users are responsible for safeguarding their login credentials and for activities carried out through their accounts. Users must notify SalHub promptly of any suspected unauthorized access.

    3.4 Account deactivation and deletion

    Users may request account deletion or deactivation. SalHub may process such requests as a soft delete, delayed deletion, or account deactivation request rather than immediate permanent deletion.

    SalHub may retain certain data where reasonably necessary for:

    • legal, tax, accounting, fraud prevention, or compliance purposes;
    • open disputes, claims, or enforcement matters;
    • active or previously confirmed workspaces, requests, or bookings;
    • backup, audit, and platform integrity purposes.

    Provider listings may be unpublished before a full deletion request is completed. SalHub reserves the right to approve, delay, limit, or refuse deletion where reasonably necessary.

    4. Profiles, listings, packages, and review

    4.1 Review and approval

    SalHub may review profiles, listings, packages, uploads, proposals, and other submitted materials manually or through internal checks. We may approve, reject, request edits, suspend, unpublish, or remove content at our discretion.

    4.2 Accuracy and responsibility

    Providers are solely responsible for the accuracy, legality, and completeness of their listings, pricing, availability, descriptions, claims, credentials, media, packages, and service delivery.

    4.3 Approved / verified / featured labels

    Any label such as “approved”, “verified”, or “featured” reflects only SalHub's internal review status at a given time. It does not constitute a warranty, guarantee, certification, or promise of quality, suitability, legality, or performance.

    5. Requests, workspaces, communication, and coordination

    SalHub may allow organisers to browse providers and packages, shortlist them, send requests, create workspaces, and communicate with providers through chat, attachments, tasks, and related workspace tools.

    SalHub may facilitate introductions, request routing, notifications, and workspace coordination. SalHub does not guarantee:

    • provider availability;
    • provider response times;
    • provider acceptance of a request;
    • uninterrupted Platform access;
    • event outcomes;
    • service quality;
    • successful completion of a project;
    • replacement providers.

    Any support offered by SalHub in relation to a request, workspace, issue, or coordination flow is provided in its role as marketplace intermediary and coordination interface only.

    6. Contracts between organisers and providers

    When an organiser engages, books, or otherwise works with a provider through or following use of SalHub, the relevant service agreement is entered into directly between the organiser and the provider.

    Unless expressly agreed otherwise in writing:

    • SalHub is not a party to that contract;
    • SalHub does not act as principal for the services;
    • SalHub does not assume responsibility for performance, delays, cancellations, staffing, execution, permits, compliance, safety, insurance, suitability, or third-party claims arising from the services.

    Providers remain solely responsible for the services they offer and deliver. Organisers remain solely responsible for confirming that the selected services meet their needs.

    7. Payments and monetisation

    7.1 Current payment phase

    In the current operating phase, payments, deposits, balances, invoices, refunds, and related payment arrangements are generally handled directly between organiser and provider unless expressly stated otherwise in writing.

    At this stage, SalHub does not generally hold client funds in escrow.

    7.2 Future integrated payments

    SalHub may later enable integrated payment processing through Stripe or another payment provider. If and when such payment functionality is introduced, additional payment terms, payout rules, and fee provisions may apply.

    7.3 Current fees

    At the current stage, SalHub does not charge organiser or business users a general platform fee, booking fee, workspace fee, or subscription fee unless expressly stated otherwise.

    SalHub may later introduce monetisation features, including but not limited to:

    • provider commissions;
    • organiser or business subscriptions;
    • paid AI features;
    • premium workspace tools;
    • paid visibility or promotion features.

    Any such fees will be communicated separately, shown before use where applicable, and/or reflected in updated Terms.

    7.4 Insolvency, risk of non-payment, and suspension rights

    If SalHub reasonably believes that a user, including a provider or organiser, is insolvent, at imminent risk of insolvency, unable to pay amounts when due, or subject to restructuring, insolvency, liquidation, administration, or similar proceedings, SalHub may, to the extent permitted by law and without liability for resulting delays, limitations, or interruptions:

    • suspend or restrict access to the Platform, listings, workspaces, requests, or related services;
    • pause, limit, or refuse further coordination, introductions, support, or commercially relevant services;
    • unpublish listings, pause organiser activity, or restrict new requests, confirmations, or bookings;
    • require advance payment, security, or other reasonable assurances before continuing to provide fee-based or commercially relevant services;
    • withhold non-essential account actions, promotional benefits, credits, optional support, or similar benefits where reasonably necessary to protect SalHub, other users, or the integrity of the marketplace.

    Any fees, commissions, subscriptions, workspace charges, AI-related fees, or other amounts that were validly incurred, accrued, or earned before such suspension or before the opening of insolvency-related proceedings remain due, subject to applicable law.

    Nothing in these Terms limits any rights SalHub may have under applicable law, including rights relating to suspension, termination, set-off where legally permitted, or the filing and enforcement of claims in restructuring or insolvency proceedings.

    8. Content, uploads, and intellectual property

    Users retain ownership of the content they upload or submit to SalHub. By uploading content, users grant SalHub a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, adapt, and use such content for operating, improving, and marketing the Platform.

    All rights in SalHub's software, branding, marketplace structure, designs, copy, graphics, workflows, and materials remain with SalHub or its licensors.

    9. AI-generated visuals

    Some images, illustrations, mockups, and other visual materials shown on SalHub may be generated, edited, or enhanced using artificial intelligence tools. These visuals are provided for illustrative, branding, and marketing purposes only and do not necessarily depict real events, providers, venues, people, or actual outcomes available through SalHub.

    Users should not rely on such visuals as a guarantee or representation of actual services, setups, or results.

    10. AI tools and generated outputs

    Where available, SalHub may offer AI-supported features such as planning support, drafting, matching, recommendations, summaries, or project assistance.

    Any AI-generated output is provided for convenience and informational support only. Users remain solely responsible for reviewing, verifying, and approving any AI-generated suggestions, matches, timelines, summaries, budgets, or other outputs before relying on them.

    SalHub does not guarantee the accuracy, completeness, legality, or suitability of AI-generated outputs.

    11. Anti-circumvention

    Users may not use SalHub to identify or source providers and then deliberately bypass the Platform in order to avoid fees, commissions, or other agreed commercial terms that apply to opportunities introduced through SalHub.

    SalHub reserves the right to investigate suspected circumvention and take appropriate action, including suspension, removal of access, or enforcement of applicable fees.

    12. Prohibited use

    You may not:

    • violate applicable law or third-party rights;
    • provide false or misleading information;
    • misrepresent your identity, authority, pricing, qualifications, licensing, or availability;
    • misuse workspaces, chat, or request flows;
    • upload unlawful, harmful, infringing, or malicious content;
    • scrape, reverse engineer, interfere with, or gain unauthorized access to the Platform;
    • spam, harass, or misuse SalHub for unauthorized solicitation.

    SalHub may suspend, restrict, or terminate accounts or listings where it reasonably believes a violation has occurred.

    13. Privacy and data visibility

    Certain profile and listing details may be visible publicly on the marketplace. Other information, including internal notes, contact details, licences, compliance documents, or workspace-specific data, may remain private or only accessible to relevant users and SalHub.

    Use of personal data is also subject to SalHub's Privacy Policy.

    14. Disclaimers

    The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, SalHub disclaims warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

    SalHub does not warrant that:

    • the Platform will be uninterrupted, secure, or error-free;
    • listings or packages will remain accurate or current;
    • providers will perform as expected;
    • any project, booking, event, or workshop will achieve a particular result.

    15. Limitation of liability

    To the fullest extent permitted by law, SalHub will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of revenue, profits, goodwill, opportunity, contracts, or data.

    To the fullest extent permitted by law, SalHub's aggregate liability arising out of or in connection with the Platform or these Terms will not exceed the total amount actually paid to SalHub by the claimant in the three (3) months preceding the event giving rise to the claim, or EUR 0 if no amount was paid to SalHub.

    Nothing in these Terms excludes liability that cannot be excluded under applicable law.

    16. Indemnity

    You agree to indemnify and hold harmless SalHub, its affiliates, and its officers, directors, employees, and representatives from and against claims, liabilities, losses, damages, and expenses arising from:

    • your use of the Platform;
    • your breach of these Terms;
    • your content, listings, requests, or communications;
    • your services, booking, event, or conduct;
    • your violation of law or third-party rights.

    17. Suspension and termination

    SalHub may suspend, restrict, remove, unpublish, or terminate accounts, listings, packages, or access where reasonably necessary to protect the Platform, its users, legal compliance, or marketplace integrity.

    18. Changes to these Terms

    We may update these Terms from time to time. Updated versions become effective when posted on the Platform unless stated otherwise. Continued use of SalHub after an update constitutes acceptance of the revised Terms.

    19. Governing law

    These Terms are governed by the laws of Germany, excluding conflict-of-law rules, subject to any mandatory legal protections that apply.

    Part B — Booking & Cancellation Policy

    0. Definitions

    Booking Confirmation

    A booking is considered “confirmed” when:

    • an organiser selects one or more providers, services, or packages;
    • the essential scope, timing, and pricing are agreed;
    • the provider confirms availability or acceptance; and
    • the request or booking is confirmed through SalHub, email, written communication, proposal, or another documented confirmation flow accepted by SalHub.

    Organiser

    The company, team, individual, or business user requesting or booking services.

    Provider

    The third-party service provider offering services, listings, packages, venues, or related support through SalHub.

    Material Costs

    Out-of-pocket costs for goods, perishables, print, branded materials, custom production, fabrication, purchased stock, or similar non-recoverable costs.

    Service Fee

    The labor, expertise, planning, staffing, performance, setup, coordination, operational time, or other service portion of a quote, excluding material costs.

    1. General framework and role of SalHub

    SalHub provides a marketplace framework through which organisers and providers can connect, submit requests, coordinate in workspaces, and document booking-related steps.

    The primary service agreement remains between organiser and provider. SalHub acts as an intermediary marketplace and coordination interface and does not assume operational responsibility for third-party services unless expressly agreed otherwise in writing.

    2. Current payment handling

    At the current phase of the Platform, payments, deposits, balances, and refunds are generally handled directly between organiser and provider unless expressly stated otherwise in writing.

    Because SalHub does not generally hold booking funds in escrow at this stage, any refund, repayment, or payment adjustment will usually need to be made by the relevant provider.

    If there are objective indications of insolvency or non-payment risk on the part of an organiser or provider, SalHub may pause new requests, confirmations, workspace activity, or additional coordination support until the matter is clarified, to the extent permitted by law.

    3. Grace period

    Where a booking has been confirmed, an organiser may request cancellation within 24 hours of Booking Confirmation.

    However:

    • this does not create an automatic refund right against SalHub where no SalHub fee has been charged;
    • if payment has been made directly to a provider, refund handling depends on the applicable provider terms, the agreed booking terms, and this policy;
    • the grace period does not apply where procurement, ordering, proof approval, production, staffing allocation, or other execution steps have already started;
    • the grace period does not apply to non-recoverable third-party costs already incurred;
    • the grace period does not apply where the booking is made less than 72 hours before the relevant event or service start time.

    4. Cancellation policy by service category

    CLASS A — Goods, perishables, custom production, committed external costs

    Typical examples include:

    • catering and beverages;
    • fresh flowers and custom decoration;
    • print and branded materials;
    • gifts and custom merchandise;
    • fabricated or custom-produced event items;
    • goods ordered specifically for the event.

    Cancellation terms — Class A

    • Before procurement or production starts: refund of amounts paid, less any already incurred and non-recoverable approved costs.
    • After procurement, ordering, proof approval, or production starts: 100% of documented material costs plus 75% of the service fee.
    • Less than 10 calendar days before the event: 100% of the total confirmed quote.
    • Custom or branded items: non-cancellable once the organiser has approved the design proof, branding specification, quantity confirmation, production release, or equivalent approval.

    Catering guest numbers

    Unless otherwise agreed in writing:

    • final guest numbers are due 7 calendar days before the event;
    • a reduction of up to 5% may be accepted;
    • reductions beyond that threshold after the deadline may be charged based on the last confirmed guest count.

    CLASS B — Time, space, talent, and reserved capacity

    Typical examples include:

    • venues and spaces;
    • speakers, moderators, coaches, and trainers;
    • audiovisual services;
    • entertainment;
    • activities and experiences;
    • reserved staffing, production time, or provider capacity.

    Cancellation terms — Class B

    • 45 or more calendar days before the event: no cancellation charge, except for non-recoverable costs already incurred.
    • 21 to 44 calendar days before the event: 50% of the confirmed booking value.
    • 8 to 20 calendar days before the event: 75% of the confirmed booking value.
    • Less than 8 calendar days before the event: 100% of the confirmed booking value.

    If the amount already paid is lower than the applicable cancellation amount, the remaining balance remains payable by the organiser.

    5. Provider-specific terms

    Providers may set additional or more specific booking terms in their quote, proposal, package description, or direct contract, provided those terms are disclosed before confirmation.

    Where provider-specific terms have been disclosed and accepted before booking, they apply in addition to this policy. In the event of conflict, the stricter accepted provider-specific term may apply to the extent permitted by law.

    6. Rescheduling

    Rescheduling requests must be made in writing and are always subject to provider availability and acceptance.

    Unless otherwise agreed:

    • Class B bookings may only be rescheduled if the provider accepts the new date;
    • Class A bookings may require the organiser to cover repeated, wasted, re-ordered, or re-produced material costs, as well as additional service or production costs resulting from the date change.

    A request to reschedule does not suspend cancellation charges unless the provider confirms the revised arrangement in writing.

    7. Change requests

    After Booking Confirmation, any change to scope, timing, duration, deliverables, guest count, service level, location, access conditions, logistics, or setup requirements may affect pricing, lead time, materials, staffing, and availability.

    No requested change is binding unless confirmed in writing by the relevant provider.

    8. Provider cancellation

    If a provider cancels a confirmed booking, the provider is expected to return any refundable amounts due under the accepted booking terms and applicable law.

    SalHub may, where reasonable, assist with communication and may suggest alternative providers. SalHub does not guarantee a replacement provider, matching price, matching quality level, or uninterrupted event delivery.

    9. Force majeure

    Neither organiser, provider, nor SalHub will be responsible for delay or failure caused by events beyond reasonable control, including severe weather, governmental measures, public safety restrictions, strikes, venue closures, utility failures, travel disruptions, or similar force majeure events.

    However, the organiser may still remain liable for:

    • documented non-recoverable material costs;
    • third-party purchases already committed;
    • work already performed;
    • other unavoidable costs reasonably incurred.

    10. SalHub fees in the current phase

    At the current stage, SalHub does not generally charge organisers a separate booking fee, platform fee, workspace fee, or subscription fee unless expressly stated otherwise.

    If SalHub later introduces:

    • integrated payments,
    • provider commissions,
    • organiser subscriptions,
    • paid AI features,
    • paid workspace tools, or
    • other commercial features,

    those terms will be communicated separately and/or reflected in updated Terms before they apply.

    11. Issues, complaints, and dispute support

    If an organiser believes that a provider did not deliver the agreed service, the organiser should notify the provider and SalHub as soon as reasonably possible and provide relevant supporting information where available.

    SalHub may review available materials such as:

    • booking confirmations;
    • proposals or quotes;
    • written communication;
    • workspace messages;
    • uploaded files;
    • inclusions and exclusions;
    • photos or other available evidence.

    Any recommendation, view, or support given by SalHub is intended to facilitate resolution within the marketplace and does not create independent liability for SalHub.

    12. No assumption of operational responsibility

    By using SalHub, you acknowledge that SalHub provides marketplace access, request flows, workspaces, and coordination tools, but does not assume operational responsibility for third-party services unless expressly agreed in writing.

    13. Acceptance

    By using SalHub, submitting a request, creating a listing, confirming a booking, or continuing to use the Platform, you confirm that you have read, understood, and agreed to these Terms of Service and Booking & Cancellation Policy.
